Terms of Service

1. The service

Daichi Platform ("Service") is a cloud-based procurement management SaaS provided by Daichi Procurement Solutions ("Daichi"). The Service covers purchase order management, supplier records, budget tracking, contract storage and RFQ workflows. By accessing the Service you ("Customer") agree to these Terms.

2. Subscription & payment

The Service is provided on a recurring subscription. Fees, billing cycles and user/seat limits are set out in the order form or pricing page in force when you subscribe. Fees are payable in advance in Kenya Shillings (KES) unless otherwise agreed in writing. Late payments accrue interest at 1.5% per month and may result in suspension of access after 30 days' notice.

3. Data ownership

All Customer data — including purchase orders, suppliers, contracts, budgets, RFQs and any uploaded documents — remains the property of the Customer's company. Daichi acts as data processor on the Customer's behalf and uses Customer data only to operate and improve the Service in line with the Privacy Policy.

4. Service level agreement

Daichi targets 99.5% monthly uptime, excluding scheduled maintenance (announced at least 48 hours in advance) and force-majeure events. If uptime falls below 99.5% in a calendar month, the Customer is entitled to a pro-rata service credit on the following invoice, on written request within 30 days of the affected month.

5. Data backup & recovery

Daichi performs encrypted backups of the production database at least once every 24 hours and retains them on a 30-day rolling basis. The targeted recovery point objective (RPO) is 24 hours and the recovery time objective (RTO) is 8 hours from a declared incident. Customers may export their own data at any time via built-in CSV and PDF export tools.

6. Cancellation & refund

The Customer may cancel a monthly subscription with 30 days' written notice, effective at the end of the current billing cycle. Annual subscriptions cancelled mid-term are refunded on a pro-rata basis less a 10% administrative fee. Upon cancellation, the Customer has 60 days to export their data, after which it is permanently deleted from active systems (encrypted backups age out within a further 30 days).

7. Acceptable use

The Customer agrees not to misuse the Service, including but not limited to: reverse engineering, attempting to bypass access controls, uploading unlawful content, or using the Service to send unsolicited communications.

8. Limitation of liability

To the maximum extent permitted by law, Daichi's total cumulative liability arising out of or relating to the Service shall not exceed the fees paid by the Customer in the 12 months preceding the event giving rise to the claim. Daichi is not liable for indirect, incidental, special, consequential or punitive damages, including loss of profit, revenue or data, even if advised of the possibility of such damages.

9. Governing law

These Terms are governed by and construed in accordance with the laws of the Republic of Kenya. The courts of Nairobi have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.
